ARTICLE I Name
The name of this organization shall be the
Flint Hills Alliance, Inc. (hereafter FHA).
ARTICLE 2 Mission
Statement
The goal of FHA is to fulfill the
educational and social needs of the local lesbian, gay, bisexual, and transgendered
community within a positive, healthy, and supportive environment. FHA shall also
seek to offer opportunities for its members to become politically active on issues
relevant to our community.
ARTICLE 3 Membership
Section 1. Membership in FHA shall be open to all individuals who are committed to the well-being of lesbian, gay, bisexual, and transgendered people, their families, and friends.
Section 2. FHA shall not discriminate on the basis of gender, sexual orientation, race, ethnicity, age, religious affiliation, or physical ability.
Section 3. Annual membership dues shall be $10.00 per year, payable to the Treasurer not later than May 1st of each year. The membership year shall run from May 1st to April 30th of the next year.
Section 4. A reduced membership dues rate
shall be available to individuals undergoing financial hardship.
Section 5. Any person may attend any meeting. However, voting privileges shall be
limited to the paid membership.
ARTICLE 4 The Executive Board
Section 1. The executive board shall consist of the elected officers of FHA.
Section 2. The executive board shall handle the regular financial and administrative business of the organization.
Section 3. Meetings of the executive board shall be held on a monthly basis and shall be open to all members.
Section 4. Three officers must be present for the board to conduct business.
Section 5. It is the responsibility of the executive board not to incur financial obligations exceeding the funds available in the treasury.
ARTICLE 5 Officers and Committees
Section 1. There shall be the following elected officers.
A. President
B. Vice-President
C. Secretary
D. Treasurer
Section 2. An officer who does not fulfill assigned responsibilities can only be relieved of office by a majority vote of members present at a regular meeting of FHA. The replacement of an officer will be made in compliance with Article 6 of these bylaws.
Section 3. The heads of standing committees can be nominated by any member in good standing and voted into their respective positions by a majority vote of members present at a regular meeting of FHA.
ARTICLE 6 Elections
Section 1. Nominations for any position can be made by any member in good standing at a regular meeting of FHA.
Section 2. Nominations for officers must be made one full month prior to elections at a regular meeting of FHA.
Section 3. Elections of officers shall take place at the first meeting in March. Newly elected officers shall undergo training until June and will begin their terms at the first meeting in June.
ARTICLE 7 Officer Duties
Section 1. The President shall:
A. preside at all meetings of FHA;
B. be authorized to sign all checks;
C. be authorized to sign all contracts after approval of the
Executive Board.
Section 2. The Vice-President shall:
A. perform the duties of the President in the absence of
the President;
B. be authorized to sign all checks;
C. be authorized to sign all contracts after approval of the
Executive Board.
Section 3. The Secretary shall:
A. record the minutes of all proceedings of the Executive
Board;
B. handle the correspondence of FHA.
Section 4. The Treasurer shall:
A. have charge of all funds of FHA;
B. make a monthly financial report to the members;
C. collect dues from members and provide receipts to paid
members.
ARTICLE 8 Amendments
The bylaws of FHA may be amended by a majority vote of all members present at a regular meeting. A copy of the proposed amendment shall be made available to all members at the meeting prior to voting on the amendment.
ARTICLE 9 Dissolution
In the event of dissolution of The Flint Hills Alliance, Inc. the remaining assets after the satisfaction of all obligations of the corporation shall be distributed for purposes within the scope of Internal Revenue Service Code 501 (c)(3), or amendments thereof.
